Terms of Service
The agreement between you and MehaiPay: what we provide, what you must do at your counter, how money moves, and what happens when something goes wrong.
These terms govern your use of the platform operated by MehaiPay Fintech Pvt. Ltd. (“MehaiPay”, “we”, “us”), a company incorporated in India in 2024, with its registered office at BHILWARA ROAD, KOYAD,RAJSAMAND, RAJASTHAN 313324 INDIA. They form a binding contract. Please read them before you register.
1. Who these terms apply to, and acceptance
These terms apply to every person who holds a MehaiPay account — a retailer, a distributor or a super distributor — and to any employee or family member who operates that account on their behalf. Sections 7, 11 and 12 also describe what a customer standing at your counter is entitled to expect.
You accept these terms when you tick the acceptance box during registration, or when you first use the services, whichever is earlier. If you operate an account on behalf of a firm or company, you confirm that you are authorised to bind it.
These terms are read together with our Privacy Policy and our Refund Policy, both of which form part of this agreement.
2. Definitions
- Agent — any account holder on the platform, of any tier.
- Retailer — a shopkeeper who serves customers directly at a counter.
- Distributor — an agent who onboards and supports retailers in a defined area and earns an override on their volume.
- Super distributor — an agent who appoints and supports distributors across a district or state.
- Wallet — the prepaid balance held in your MehaiPay account, used to fund transactions and to receive commission and reversals.
- Service — AEPS, micro ATM, domestic money transfer, BBPS bill payment, recharge, insurance, travel booking and anything else we make available in the app.
- Sponsor bank — the bank licensed by the Reserve Bank of India through which a regulated transaction is routed and settled.
- Transaction — a single instruction you submit through the platform, identified by a reference number such as an RRN or a UTR.
- Commission — the amount payable to you for a successful transaction, at the slab applicable to your tier on the date of the transaction.
3. Eligibility and registration
To hold a MehaiPay account you must:
- be at least eighteen years old and competent to contract;
- be a resident of India, operating from a physical address in India;
- hold a valid Aadhaar and a valid PAN in your own name;
- hold a savings or current account in your own name, or in the name of your registered firm, for settlement;
- give information that is true, complete and current, and update it within seven days of any change — particularly a change of shop address, mobile number or bank account.
Registration is free. There is no monthly platform fee. An account is activated once KYC is approved and a minimum wallet load of ₹500 has been made. We may decline any application without giving a reason, including where the applicant or the address is already linked to a closed or blocked account.
4. KYC and verification
Before activation we verify your Aadhaar through an authorised KYC User Agency, your PAN against the income tax database, your bank account through a penny-drop credit, your photograph against a live selfie, and the shop address through a photograph of the premises with signage. Distributors are additionally asked for a GSTIN where one is held and for proof of the entity’s constitution.
We may suspend an account immediately, without notice, if a KYC record fails verification, expires, is found to be forged, or is flagged by a regulator or a sponsor bank. Re-KYC is carried out every two years for a retailer and every year for a distributor, and sooner where a risk trigger applies. You will receive at least thirty days’ notice before a re-KYC falls due; if it is not completed by the due date, the account moves to a read-only state in which you can withdraw the wallet balance but cannot transact.
5. Your role, and what MehaiPay is not
MehaiPay is a technology and settlement platform. We are not a bank. We do not accept deposits, we do not lend, and we do not issue a banking licence of our own. Regulated transactions are authorised and settled by our sponsor bank and by the relevant payment system operator, such as NPCI or the BBPS Central Unit. Insurance is issued by the insurer, and travel tickets by the carrier or their aggregator.
You are an independent business. Nothing in this agreement creates employment, agency beyond the transaction, partnership or a joint venture between us. You decide your own hours, hire your own staff and bear your own costs. You are responsible for your own taxes, licences and shop compliance.
6. The wallet
Your wallet is a prepaid balance held with us for the purpose of settling transactions. It can be loaded by UPI, IMPS, NEFT or a cash deposit made through your distributor. It carries no interest, has no overdraft, and is not a deposit. It is not covered by deposit insurance, because it is not a bank account.
The wallet may be used only for transactions on the platform and for withdrawal to your own registered bank account. Transfers between agent wallets are not permitted except the distributor-to-retailer transfer that the app itself provides.
On closure of an account, for any reason, we return the balance to your registered bank account after deducting any amount due to us and after holding back an amount sufficient to cover open disputes and chargebacks. The hold-back is released as each dispute closes. Where the account was closed for fraud, the balance may be held until the investigation and any regulatory or police process concludes.
7. Using the services
- Charge only the published fee. The customer fee for each service is shown in the app and on your rate card. You may not add a fee of your own on top of it.
- Never charge for an AEPS withdrawal. AEPS cash withdrawal is free to the customer. Your earning is the commission we pay you, not a cut from the customer.
- Take consent before an Aadhaar transaction. The consent screen must be read out or shown to the customer in a language they understand, and the customer must agree before the fingerprint is captured.
- Give a receipt every time. Print it or send it by SMS. The receipt must show the amount, the date and time, and the reference number.
- Display the signage we supply — the service board and the customer fee chart — at the counter, visible to the customer.
- Count and verify cash yourself. A payout is your own cash. Check it before you hand it over.
- Keep the customer’s details to yourself. Do not copy, photograph or share an Aadhaar number, an account number or a mobile number outside the transaction.
8. Prohibited conduct
The following are serious breaches. Each will lead to suspension and, in most cases, to termination and a report to the sponsor bank and the appropriate authority:
- sharing your login credentials, PIN or device with anyone, including a family member or an employee who has not been registered with us;
- using another person’s biometrics, a silicone or lifted fingerprint, or any device that bypasses a Registered Device service;
- splitting a single customer request into several transactions to stay under a per transaction or per day limit;
- transacting for a person who is not physically present at your counter;
- money laundering, layering, or accepting cash whose source you have reason to doubt;
- misrepresenting commission, income or guaranteed returns in order to recruit another retailer or to collect money from them;
- collecting a security deposit, joining fee or device charge from a sub-agent in MehaiPay’s name;
- any activity restricted under the Foreign Exchange Management Act, 1999 or the Prevention of Money Laundering Act, 2002, or any transaction for a person named in a sanctions list;
- using the platform for gambling, cryptocurrency purchase, or any purpose prohibited by the sponsor bank.
9. Commission
Commission is calculated per successful transaction at the slab applicable to your tier on the date of that transaction, as published in the app and in the commission calculator. It is credited to your wallet on the same day the transaction settles — T+0 — and appears on your statement against the transaction reference.
- Slabs are indicative. They depend on rates we receive from banks, NPCI, billers and operators, and may be revised. A revision is notified in the app and by email at least seven days before it takes effect, except where a partner changes a rate with immediate effect and we have no notice ourselves.
- Commission is credited net of TDS under section 194H of the Income-tax Act, 1961 at the rate then in force. A Form 16A is issued each quarter.
- GST, where it applies to your supply of services to us, is dealt with under the reverse charge or forward charge mechanism depending on your registration status. Keep your GSTIN on your profile current.
- Commission on a transaction that is later reversed, refunded or charged back is clawed back from your wallet, and is shown on the statement as a negative entry against the same reference.
- Commission is not payable on a failed transaction, a test transaction, or a transaction later found to be fraudulent.
10. Limits and holds
Every service carries a per transaction limit and a per day limit. These are set by the customer’s own bank, by NPCI or by us, whichever is lower, and are shown in the app before you begin. We may lower a limit for an individual account on risk grounds, with notice in the app.
We may place a hold on part or all of a wallet balance where a transaction pattern looks irregular, where a chargeback or a police complaint has been received, or where a sponsor bank or a regulator asks us to. A hold is not a penalty; it freezes an amount while the matter is examined.
| Trigger | What we do | Maximum period |
|---|---|---|
| Chargeback or customer dispute | Hold the disputed amount only | Until the cycle closes, up to 45 days |
| Irregular transaction pattern | Transacting paused, wallet held | 15 working days |
| Failed or expired KYC | Account read-only, balance withdrawable | Until KYC is redone |
| Suspected fraud | Account suspended, full wallet held | 90 days, extendable if a case is filed |
| Regulator or court direction | As directed | As directed |
A hold is released automatically the moment the reason for it ends. We tell you in the app why a hold was placed, what we need from you, and when we expect to decide. Where a hold is released in your favour, the amount returns to the wallet with the original reference intact.
11. Disputes, chargebacks and reversals
A failed transaction is reversed automatically. A successful transaction cannot be reversed on request — once a bank, a biller or an operator has accepted it, the money has moved. Where a customer or a bank raises a chargeback against a transaction you processed, we will ask you for the receipt, the consent record and any CCTV or register entry you hold, and you must reply within three working days.
Timelines by service, the meaning of an RRN and a UTR, the escalation ladder and the compensation payable where a prescribed turnaround time is breached are all set out in the Refund Policy, which forms part of this agreement.
12. Liability
We are responsible for the availability and correctness of the platform, for routing your transaction to the right rail, for crediting commission and reversals correctly, for keeping your data secure as described in the Privacy Policy, and for pursuing a dispute you raise within the applicable cycle.
We are not responsible for:
- a customer’s own bank, a biller, an operator, UIDAI or NPCI being slow, unreachable or down;
- a cash handling error at your counter — paying out twice, paying the wrong person, or accepting a counterfeit note;
- a failure of your own device, fingerprint scanner, printer or internet connection;
- a transaction made with your credentials by someone you allowed to use them;
- a wrong beneficiary account number, IFSC or consumer number keyed in by you or dictated by the customer;
- any loss caused by your breach of section 7 or section 8.
Where we are found liable, our total liability to you for all claims arising in any twelve month period is limited to the total commission credited to your account in the three months immediately preceding the event. Neither party is liable to the other for indirect, incidental or consequential loss, or for loss of profit, goodwill or business opportunity. Nothing in this section limits a liability that cannot be limited under Indian law, including liability for fraud.
13. Suspension and termination
- By you — at any time, by giving us seven days’ notice in writing at support@mehaipay.com or through the app. Settle any negative balance first.
- By us for convenience — on thirty days’ notice, without giving a reason.
- By us for breach — on seven days’ notice, where we have asked you to correct a breach and it has not been corrected.
- By us immediately — for suspected fraud, for a breach of section 8, or where a regulator, a sponsor bank or a court requires it.
On termination your access stops, pending commission is computed up to the last settled transaction, and the wallet balance is returned under section 6 after the hold-back for open disputes. Sections 8, 9, 11, 12, 14 and 16 survive termination. Records are retained for the periods set out in the Privacy Policy.
14. Intellectual property and use of the brand
The MehaiPay name, logo, app, website, screens, rate cards and documentation belong to us. We grant you a limited, non-exclusive, non-transferable licence to use the MehaiPay name and logo, in the form we supply, to advertise the services at your shop. That licence ends when your account ends, and you must take down the signage within seven days.
Co-branded material — a banner, a pamphlet, a hoarding, a social media post or a video that carries both your business name and ours — requires our written approval before it is printed or published. Write to support@mehaipay.com with the artwork. You may not register a domain name, social media handle, firm name or trademark containing “MehaiPay” or anything confusingly similar.
15. Changes to these terms
We update these terms when the law, our partners or our services change. The date at the top always reflects the current version. A material change — anything that affects your commission, your limits, your liability or your right to terminate — is notified in the agent app and by email at least fifteen days before it takes effect. A change required by a regulator with immediate effect takes effect on the date the regulator specifies, and we will tell you as soon as we can.
Continuing to use the services after a change takes effect means you accept the revised terms. If you do not accept them, close your account under section 13 before that date.
16. Governing law, grievances and jurisdiction
This agreement is governed by the laws of India. Before going to court, please use our grievance route: raise the matter with support, escalate to the Nodal Officer, then to the Grievance Officer. The full ladder, with timelines, is on the grievance redressal page. A payment-related complaint that remains unresolved after thirty days may be taken to the RBI Ombudsman under the Reserve Bank – Integrated Ombudsman Scheme, 2021.
Subject to that, the courts at KOYAD, RAJSAMAND RAJASTHAN have exclusive jurisdiction over any dispute arising out of this agreement.
